A partnership with a new sponsor team

On 29 September 2026 Tavia Sponsor signed a Purchase and Sponsor Handover Agreement, and on 1 October 2026 the new sponsor took over. It assumed responsibility for funding TAVI’s operating expenses and the monthly contributions to its trust account that support the extended deadline.

Tavia Sponsor kept 1,500,000 ordinary shares and an economic interest in the outcome.

13 July 2026

A letter of intent with Vita Inclinata

TAVI and Vita Inclinata Technologies, Inc. announced a non-binding letter of intent for a business combination that would take Vita public on Nasdaq. The proposed terms value Vita at a pre-money enterprise value of $450 million, assuming Vita completes its pending strategic acquisition in the defense and industrials market.

As of 16 October 2026, Vita’s strategic acquisition is still pending, and no definitive agreement for the combination has been announced. The letter of intent is not binding: any combination would require a definitive agreement, due diligence, approvals and other closing conditions, and may not be completed. Nothing here is an offer of securities or a solicitation of any vote or proxy.
